Agreement to Terms
By accessing, downloading, or using You-i ("the App," "our App," or "the Service"), you agree to be bound by these Terms of Use ("Terms," "Terms of Service," or "Agreement"). If you disagree with any part of these terms, you do not have permission to access or use the App.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and You-i ("we," "us," or "our").
Eligibility
You must be at least 13 years of age to use the App. If you are between 13 and 18 years old, you must have your parent or legal guardian's permission to use the App. By using the App, you represent and warrant that you meet these eligibility requirements.
Description of Service
You-i is a wellness tracking and educational mobile application that provides:
- AI-Powered Wellness Assistant: An intelligent assistant that answers questions about your wellness data
- Health Data Integration: Connections with Apple Health and other fitness and wellness apps
- Wellness Insights: Educational information and pattern recognition based on your health and activity data
- Goal Tracking: Tools to set wellness intentions and track progress over time
- Data Visualization: Comprehensive dashboards displaying your wellness metrics
- Multi-Device Sync: Seamless data synchronization across your devices
User Accounts and Security
To use the App, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access or security breach
- Not share your account credentials with others
- Not create multiple accounts or use another person's account without permission
You are solely responsible for any activity on your account, whether or not authorized by you. We are not liable for any loss or damage arising from your failure to maintain account security.
Health Data and Wellness Information
Your Ownership of Data
You retain all rights, title, and ownership to your health and wellness data. By using the App, you grant us a limited, non-exclusive, revocable license to access, process, store, and analyze your data solely for the purpose of:
- Providing personalized wellness insights and educational information
- Operating and improving the App's features and functionality
- Generating AI-powered responses to your wellness questions
- Identifying patterns and trends in your wellness data
This license terminates when you delete your account or revoke access to specific data sources.
Apple Health and HealthKit
If you choose to connect Apple Health:
- You grant explicit permission for the App to read specific HealthKit data types
- You can control which data types are shared through the Health app settings
- You can revoke access at any time through iOS Settings or the Health app
- HealthKit data is used exclusively for wellness and educational purposes
- HealthKit data is never used for advertising, marketing, or sold to third parties
Medical Disclaimer and Limitations

You-i is NOT a medical device, medical service, or healthcare provider. The App does NOT provide medical advice, diagnosis, or treatment.
The App is designed for wellness tracking, educational purposes, and informational use only. All insights, suggestions, recommendations, and information provided by the App, including AI-generated responses, are:
- For informational and educational purposes only
- Not a substitute for professional medical advice, diagnosis, or treatment
- Not intended to diagnose, treat, cure, or prevent any disease or medical condition
- Not intended to replace consultations with qualified healthcare professionals
- Based on patterns and data analysis, not medical expertise
Your Responsibilities
You acknowledge and agree that:
- Always consult qualified healthcare professionals for medical advice, diagnosis, and treatment decisions
- Never disregard professional medical advice or delay seeking it because of information from the App
- In case of medical emergency, immediately contact emergency services (911 in the US) or go to the nearest emergency room
- The App cannot detect or alert you to medical emergencies
- You use the App at your own risk and are solely responsible for any decisions you make based on the App's information
- The App's insights are not guaranteed to be accurate and may contain errors or limitations
No Doctor-Patient Relationship
Use of the App does not create a doctor-patient, therapist-patient, or any other healthcare professional relationship between you and You-i or any of its employees, contractors, or AI systems.
Acceptable Use Policy
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the App for any illegal purpose or in violation of any local, state, national, or international law
- Violate or infringe upon the rights of others, including privacy, publicity, intellectual property, or other proprietary rights
- Attempt to gain unauthorized access to the App, other users' accounts, or our computer systems or networks
- Interfere with or disrupt the App's functionality, servers, or networks
- Use any automated system (bots, scrapers, etc.) to access the App without our express written permission
- Upload, transmit, or distribute any viruses, malware, or malicious code
- Attempt to reverse engineer, decompile, or disassemble any part of the App
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use the App to harass, abuse, threaten, or harm others
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Collect or harvest any personal information about other users
- Use the App for any commercial purpose without our express written consent
We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including removing content, suspending or terminating accounts, and reporting to law enforcement.
Intellectual Property Rights
The App and all of its original content, features, functionality, design, software, algorithms, text, graphics, logos, and trademarks are owned by You-i and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App for personal, non-commercial purposes, subject to these Terms. This license does not include any right to:
- Resell, redistribute, or commercially exploit the App or its content
- Modify, adapt, or create derivative works based on the App
- Use the App's name, trademarks, or branding without permission
- Access the App's source code or underlying technology
User-Generated Content
You may provide input to the App, including wellness check-ins, goals, preferences, and questions. You retain ownership of this content, but you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process this content to provide and improve the Service.
You represent and warrant that any content you provide:
- Is accurate and truthful to the best of your knowledge
- Does not violate any third-party rights
- Does not contain illegal, harmful, or offensive material
Third-Party Services and Integrations
The App integrates with third-party services (e.g., Apple Health, fitness apps, cloud services). These integrations are subject to the third parties' own terms of service and privacy policies. We are not responsible for:
- The availability, accuracy, or reliability of third-party services
- The privacy practices or content of third-party services
- Any issues arising from your use of third-party services
Your use of third-party services is at your own risk. We encourage you to review their terms and privacy policies.
Subscription and Payment Terms
Certain features of the App may require a paid subscription. If you purchase a subscription:
- You agree to pay all applicable fees as described at the time of purchase
- Subscriptions automatically renew unless you cancel before the renewal date
- You can manage or cancel subscriptions through your App Store account settings
- Refunds are subject to Apple's App Store refund policy
- We reserve the right to change pricing with advance notice
SMS and Text Messaging Terms
You-i offers optional SMS text message notifications as part of the Service. By opting in to SMS notifications, you agree to the following:
- Consent: By verifying your phone number and enabling SMS notifications in the App, you consent to receive recurring automated text messages from You-i at the phone number you provide.
- Message Types: Messages may include daily plan check-ins, task nudges, and wellness updates related to your personalized plan.
- Message Frequency: Message frequency varies based on your plan and notification settings.
- Message and Data Rates: Standard message and data rates from your wireless carrier may apply to messages you send and receive.
- Opt-Out: You may opt out at any time by replying STOP to any text message from You-i, by disabling SMS in your App settings, or by contacting support@liveyouphoria.com.
- Help: For help, reply HELP to any message or contact support@liveyouphoria.com.
- Not a Condition of Purchase: Consent to receive text messages is not required as a condition of purchasing or using the App.
- Carrier Liability: Wireless carriers are not liable for delayed or undelivered messages.
- Phone Number Privacy: Your phone number will not be shared with, sold to, or rented to third parties for their marketing purposes.

Disclaimers and Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the App will be uninterrupted, error-free, secure, or free of viruses
- Warranties regarding the accuracy, reliability, or completeness of any content or information
- Warranties that the App will meet your requirements or expectations
- Warranties regarding the results obtained from using the App
No advice or information obtained from us or through the App creates any warranty not expressly stated in these Terms.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU-I AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or use
- Loss of goodwill or reputation
- Business interruption
- Personal injury or property damage
- Health-related outcomes or decisions made based on the App's information
- Errors, mistakes, or inaccuracies in content or insights
- Unauthorized access to or alteration of your data
- Third-party conduct or content
WHETHER INCURRED DIRECTLY OR INDIRECTLY, AND WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
Indemnification
You agree to indemnify, defend, and hold harmless You-i and its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the App
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your violation of any applicable laws or regulations
- Any content you provide to the App
- Any health-related decisions you make based on the App
Data Backup and Loss
While we implement reasonable measures to maintain data integrity and backups, you are responsible for maintaining your own backups of any important content. We are not liable for any loss, corruption, or unauthorized access to your data.
Termination and Suspension
Termination by You
You may terminate your account at any time by:
- Using the account deletion feature in the App settings
- Contacting our support team
Upon termination, your right to use the App will immediately cease, and your data will be deleted in accordance with our Privacy Policy.
Termination by Us
We reserve the right to suspend or terminate your account and access to the App, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Extended periods of inactivity
- Requests by law enforcement or government agencies
- Discontinuation of the App or Service
We are not liable to you or any third party for any termination or suspension of your account.
Effect of Termination
Upon termination:
- Your license to use the App immediately ends
- You must cease all use of the App
- Sections of these Terms that by their nature should survive termination will survive, including disclaimers, limitations of liability, and dispute resolution provisions
Changes to the App and Terms
Changes to the App
We reserve the right to modify, suspend, or discontinue the App or any features at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the App.
Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last Updated" date at the top
- We will notify you via email or in-app notification
- We may require you to accept the updated Terms to continue using the App
- Material changes will take effect 30 days after notice is provided
Your continued use of the App after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the App and delete your account.
Dispute Resolution and Governing Law
Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to conflict of law principles.
Informal Resolution
Before filing a formal claim, you agree to contact us at support@liveyouphoria.com to attempt to resolve any dispute informally. We will attempt to resolve disputes in good faith.
Arbitration Agreement
If informal resolution fails, any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if they qualify.
Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and You-i individually. To the fullest extent permitted by law, you waive any right to pursue disputes on a class-wide basis or in a representative capacity.
Miscellaneous Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and You-i regarding the App and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.
Export Compliance
You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country.
Apple-Specific Terms (iOS App)
If you access the App via an iOS device:
- These Terms are between you and You-i only, not with Apple Inc.
- Apple has no obligation to provide maintenance or support services
- Apple is not responsible for addressing any claims relating to the App
- Apple is a third-party beneficiary of these Terms and may enforce them
- You must comply with applicable third-party terms when using the App
